2. Tjenestene (Our Services)

Our Services are provided to businesses. All specific services will be detailed in a separate written agreement, proposal, or Statement of Work ("Service Agreement") which will outline the scope, deliverables, timelines, and fees.

These Terms shall be considered a part of every Service Agreement, unless explicitly stated otherwise in that agreement. In the event of a conflict between these Terms and a specific Service Agreement, the terms of the Service Agreement will prevail.

3. Bruk av Nettstedet (Use of the Website)

You agree to use the Website only for lawful purposes. You are prohibited from:

Using the Website in any way that may damage, disable, or impair the Website.

Attempting to gain unauthorized access to any part of the Website or our systems.

Using the Website to transmit or distribute any malicious software (viruses, trojans, etc.).

4. Immaterielle Rettigheter (Intellectual Property Rights)

Client Property: You retain all rights to any materials, data, or intellectual property you provide to us for a project ("Client Materials"). You grant us a non-exclusive, royalty-free license to use the Client Materials solely for the purpose of delivering the Services.

Deliverables: Upon full and final payment for a project, we grant you the rights to the final, completed work ("Deliverables") as specified in the Service Agreement. We retain the rights to our underlying Agency Tools.

Portefølje- og Markedsføringsrettigheter (Portfolio and Marketing Rights): Unless otherwise agreed in writing in the Service Agreement, Lima La Agency AS retains a perpetual, worldwide, non-exclusive, royalty-free right to display, reproduce, and distribute the Deliverables as part of our professional portfolio, for marketing, and for promotional purposes. This includes, but is not limited to, use on our Website, in social media, in case studies, and in competitions. When using the Deliverables for these purposes, we will make a reasonable effort to credit your business as the client.

5. Kundens Ansvar (Client Responsibilities)

To ensure project success, you agree to:

Provide all necessary Client Materials (text, images, logins) in a timely manner.

Provide clear, timely feedback and approvals.

Appoint a single, authorized contact person to communicate with us.

Delays caused by the Client's failure to meet these responsibilities may result in adjustments to project timelines and fees, for which we are not liable.

6. Betaling (Payment Terms)

Fees and payment schedules for Services will be detailed in the Service Agreement.

Invoices are payable within fourteen (14) days, unless otherwise agreed.

Late payments will be subject to interest in accordance with the Norwegian Act on Interest on Overdue Payments (Forsinkelsesrenteloven).

All rights to Deliverables remain with Lima La Agency AS until full payment has been received.

7. Konfidensialitet (Confidentiality)

Both parties agree to keep all non-public information received from the other party ("Confidential Information") confidential. This includes business strategies, client lists, and project details. This obligation continues after the termination of our engagement.

8. Ansvarsfraskrivelse og Ansvarsbegrensning (Disclaimer and Limitation of Liability)

Disclaimer: Our Services are provided "as is". We do not guarantee any specific business outcomes, sales, or marketing results from our Services. Any forecasts or projections are good-faith estimates only.

Limitation of Liability: To the maximum extent permitted by Norwegian law, Lima La Agency AS shall not be liable for any indirect, incidental, or consequential damages (including lost profits or lost data). Our total liability for any claim arising from a specific Service Agreement is limited to the total fees paid by you to us under that Service Agreement in the preceding six (6) months.

9. Opphør (Termination)

Either party may terminate a Service Agreement for a material breach of these Terms or the Service Agreement, provided the breaching party is given written notice and a reasonable opportunity (e.g., 14 days) to cure the breach. We reserve the right to suspend or terminate your access to the Website at any time for a breach of these Terms.

10. Endringer i Vilkårene (Changes to Terms)

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Website and update the "Last Updated" date. Your continued use of the Website or Services after such changes constitutes your acceptance of the new Terms.

11. Lovvalg og Verneting (Governing Law and Dispute Resolution)

These Terms and any dispute arising from them shall be governed by and construed in accordance with Norwegian law.

Any dispute shall be subject to the exclusive jurisdiction of the Tønsberg tingrett as the legal venue.
